End User License Agreement (EULA)

1. Acceptance of the Agreement

By installing, copying, or using FastDesk ("the Software"), you agree to be bound by the terms of this End User License Agreement ("EULA"). If you do not accept these terms, do not install or use the Software.

The Software is provided by PERsoft ("the Licensor").

2. License Grant and Terms of Use

The Licensor grants the user a limited, non-exclusive, non-transferable, and revocable license to install and use the Software in accordance with the following terms:

2.1 Personal Use (Private Plan)

The user may use the Software free of charge for personal, non-commercial purposes, including remote assistance sessions between devices owned by the user or for the benefit of family members and friends, without any direct or indirect profit motive.

2.2 Business Use (Business Plan)

The use of the Software in business, professional, commercial contexts or within the scope of any economic activity — including, but not limited to, technical assistance to clients, internal IT support, help desk, IT infrastructure management, and training — requires a paid Business plan subscription. Business use includes any use carried out by or on behalf of a legal entity, a freelancer, a self-employed individual, or an organization of any nature.

4. Modifications to Terms and Services

The Licensor reserves the sole and absolute right to modify, supplement, update, or replace at any time and without prior notice the present terms and conditions, the characteristics of the Software, the functionalities offered, the pricing plans, the usage limits, and any other condition of service provision. The user is required to periodically consult the updated version of this EULA. Continued use of the Software following the publication of any modifications constitutes full and unconditional acceptance of the new conditions.

The Licensor further reserves the right to suspend, interrupt, limit, or discontinue all or part of the service, temporarily or permanently, for any reason and without obligation of prior notice or justification, without this giving rise to any right of compensation, indemnity, refund, or reimbursement in favor of the user.

5. Privacy and Data Protection

5.1 Peer-to-Peer Connection

The video stream and input data (mouse, keyboard) travel directly between devices via an encrypted WebRTC peer-to-peer connection (DTLS). The Licensor does NOT have access to the shared screen content.

5.2 Data Collected

The signaling server collects only:

All sensitive data is encrypted with Windows Data Protection API and accessible only by the user's Windows account.

5.4 Cookies

The website uses only technical cookies necessary for operation (Socket.IO session, cookie consent). No profiling or third-party cookies.

The Software and all associated code, graphics, trademarks, and content are the exclusive property of the Licensor. This EULA does not transfer any ownership rights to the user.

The Software uses third-party open source components. Their respective licenses can be found on the Open Source Licenses page.

8. Complete Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, OR CONTINUITY OF SERVICE.

The Licensor does not warrant, nor can it warrant, that:

The user uses the Software entirely at their own risk. The user is solely responsible for evaluating the suitability of the Software for their needs and for adopting all security, backup, and data protection measures they deem appropriate.

9. Limitation and Exclusion of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR, ITS DIRECTORS, EMPLOYEES, COLLABORATORS, AGENTS, SUPPLIERS, LICENSORS, AND AFFILIATES SHALL IN NO EVENT BE LIABLE TO THE USER OR ANY THIRD PARTY FOR:

IN ANY EVENT, THE AGGREGATE LIABILITY OF THE LICENSOR, UNDER ANY THEORY, SHALL UNDER NO CIRCUMSTANCES EXCEED THE AMOUNT ACTUALLY PAID BY THE USER TO THE LICENSOR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR, IN THE ABSENCE OF ANY PAYMENTS, THE SUM OF EUR 10.00 (TEN/00).

The above limitations shall apply regardless of the legal theory upon which the claim is based (contract, tort, negligence, strict liability, or otherwise) and shall survive the termination of this EULA.

9-bis. Indemnification and Hold Harmless

The user agrees to indemnify, defend, and hold harmless the Licensor, its directors, employees, collaborators, and affiliates from and against any and all claims, actions, damages, costs, expenses (including reasonable legal fees), liabilities, or losses arising from or related to: (i) the user's use of the Software; (ii) the user's breach of this EULA; (iii) the user's infringement of third-party rights; (iv) any content, data, or information transmitted by the user through the Software.

10. Consent to Remote Connection

The user acknowledges that the Software allows third parties to view and remotely control their desktop. The user is responsible for:

The Software may automatically download and install updates to improve functionality, security, and performance. The user agrees to these automatic updates as part of using the Software.

12. Termination

This EULA is effective until terminated. The Licensor may terminate this EULA at any time if the user violates any of the terms. Upon termination, the user must cease all use of the Software and delete all copies.

13. Governing Law

This EULA is governed by the laws of the Italian Republic. For any dispute, the Court of Padua shall have exclusive jurisdiction.
